End-User License Agreement
Effective date: August 2026
This End-User License Agreement (the "Agreement") governs your use of the software Proactive Property Management LLC ("PPM," "we," "us") provides to owners, residents, and vendors — including the owner portal, the resident portal, the PPM AI Operating System, and any related applications, mobile experiences, or interfaces we make available (together, the "Platform").
By logging in to, accessing, or otherwise using the Platform, you agree to this Agreement. If you do not agree, do not use the Platform. If you use the Platform on behalf of a company, trust, or other entity, you confirm you are authorized to accept this Agreement for that entity, and "you" means both you and that entity.
1. Who may use the Platform
The Platform is available by invitation only, to:
- Owners and their authorized representatives — property owners with a signed management agreement with PPM, and the people they designate;
- Residents and applicants — residents of properties PPM manages, and applicants during the leasing process;
- Vendors and contractors — service providers engaged by PPM to perform work at managed properties; and
- PPM personnel — our staff and contractors.
You must be at least 18 years old and legally able to enter this Agreement. Accounts are issued to a named individual. We may verify your identity and your relationship to a property before granting or continuing access.
2. License we grant you
Subject to this Agreement, PPM grants you a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Platform for its intended purpose — managing your property, managing your tenancy, or completing work you have been engaged to perform. This right lasts only while you are an authorized user.
The Platform is licensed, not sold. PPM and its licensors retain all right, title, and interest in the Platform, including all software, source code, models, prompts, workflows, designs, documentation, and trademarks. No rights are granted except those stated here.
3. What you may not do
You agree not to, and not to permit anyone else to:
- copy, modify, translate, or create derivative works of the Platform, or reverse engineer, decompile, or attempt to derive its source code, models, or underlying logic, except where that restriction is prohibited by law;
- rent, lease, sell, sublicense, distribute, or make the Platform available to any third party, or use it to operate a service bureau or competing product;
- use scrapers, crawlers, bots, or automated tools to extract data from the Platform, or extract data in bulk beyond your own records;
- access or attempt to access any account, property, unit, ledger, or record that is not yours;
- circumvent or test authentication, rate limits, or other security controls, or conduct penetration testing or vulnerability scanning without our prior written permission;
- upload malware, or upload content that is unlawful, defamatory, harassing, or infringing;
- submit information you know to be false, including in applications, maintenance requests, or financial records;
- use the Platform in any way that violates the federal Fair Housing Act, the New Jersey Law Against Discrimination, consumer protection or fair credit laws, or any other applicable law; or
- use the Platform's outputs to train, fine-tune, or benchmark a competing machine-learning model.
4. Your account and credentials
Keep your login credentials confidential and do not share your account. You are responsible for activity that occurs under your account. Tell us promptly at contact@njppm.com if you believe your credentials or account have been compromised. We may suspend an account immediately where we reasonably believe it has been compromised or misused.
5. Your content
You keep ownership of the documents, images, messages, and other content you submit to the Platform ("Your Content"). You grant PPM a worldwide, royalty-free license to host, store, reproduce, transmit, display, and process Your Content solely to operate the Platform, deliver our management services, meet our legal and record-keeping obligations, and maintain security. We may also use information in aggregated or de-identified form — data that does not identify you, your household, or your property — to improve our services and operations.
You confirm you have the right to submit Your Content and that doing so does not violate anyone's rights or any agreement. Do not upload information about other people unless you are permitted to share it.
6. AI-assisted features
The Platform uses automation and artificial intelligence. Among other things, these systems draft messages, classify and route maintenance requests, summarize documents and leases, prepare financial and reconciliation entries, and flag items for attention.
You should understand the following:
- Outputs can be wrong. AI-generated summaries, drafts, categorizations, and figures may be inaccurate, incomplete, or out of date. Do not rely on them as your sole basis for a decision.
- A person reviews decisions that matter. PPM staff review AI-assisted output before it is used to make a legally significant decision about you — including rental application decisions, lease renewals and non-renewals, notices, eviction filings, security-deposit dispositions, and movement of funds.
- It is not professional advice. Nothing produced by the Platform is legal, tax, accounting, insurance, or investment advice. New Jersey landlord-tenant law and municipal ordinances change; confirm current requirements with a qualified professional.
- You can ask for a human. If an automated output affects you and you disagree with it, contact us using the details below and a person will review it.
7. Financial information in the Platform
Balances, statements, ledgers, and payment records shown in the Platform are provided for convenience and may lag behind bank or processor records while transactions settle or are reconciled. Payments and disbursements are handled by third-party banking and payment providers, and their terms apply to those transactions. Where the Platform conflicts with your signed management agreement, your lease, or an official statement we issue, those documents control.
8. Third-party services
The Platform connects to services we do not operate — including our property-management software provider, banking and payment providers, electronic-signature providers, screening providers, and communication providers. Your use of those services may be subject to their own terms, and we are not responsible for their content, availability, acts, or omissions.
9. Availability, changes, and emergencies
We work to keep the Platform available and accurate, but we do not promise uninterrupted or error-free service. We may add, change, suspend, or remove features, and we may perform maintenance, at any time. We will use reasonable efforts to give notice of significant planned changes.
The Platform is not an emergency service. Do not use it to report a fire, gas leak, flood, medical emergency, or any situation that threatens life or property. Call 911 first, then call PPM at (973) 330-8261.
10. Fees
Access to the Platform is provided as part of PPM's services under your management agreement or lease. There is no separate license fee unless we agree to one in writing. Fees for management, leasing, maintenance, rent, and other services are governed by those agreements, not by this one.
11. Term, suspension, and termination
This Agreement starts when you first access the Platform and continues until terminated. Your access ends when your management agreement or tenancy ends, when your role with a vendor or owner ends, or when we or you terminate it.
We may suspend or terminate your access immediately if you breach this Agreement, if we are required to by law, or to protect the security of the Platform or other users. You may stop using the Platform at any time.
After access ends, PPM retains records as described in our Privacy Policy and as required by law, tax rules, and real-estate licensing obligations. You may request a copy of your records using the contact details below. Sections 3, 5, 12, 13, 14, and 16 survive termination.
12. Feedback
If you send us suggestions, ideas, or feedback about the Platform, we may use them for any purpose without obligation or compensation to you. Please do not send us anything you consider confidential.
13. Disclaimer of warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, PPM DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, ACCURATE, OR ERROR-FREE. Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.
14. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, PPM WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST RENTS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY.
PPM's total liability arising out of or relating to the Platform will not exceed the greater of (a) the amounts you paid PPM specifically for Platform access in the twelve months before the event giving rise to the claim, or (b) $100.
This section limits liability for the software only. It does not limit PPM's obligations or liability under your signed management agreement or lease, and it does not exclude liability that cannot be excluded by law — including for fraud, willful misconduct, or personal injury.
15. Indemnity
If you use the Platform on behalf of a business or entity, you will defend and indemnify PPM against third-party claims, damages, and reasonable costs arising from your use of the Platform in breach of this Agreement or in violation of law.
16. How this fits with our other agreements
If there is a conflict, the order of precedence is: (1) your signed management agreement, lease, or vendor agreement with PPM; (2) this Agreement; (3) our Terms of Use. Our Privacy Policy describes how we handle personal information and is incorporated into this Agreement by reference.
17. Changes to this Agreement
We may update this Agreement. If we make a material change, we will post the updated version here with a new effective date and notify you through the Platform or by email before it takes effect. Continuing to use the Platform after that date means you accept the updated Agreement.
18. Governing law and venue
This Agreement is governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules. You and PPM agree that the state and federal courts located in Hudson County, New Jersey have exclusive jurisdiction over any dispute arising out of this Agreement, and each party consents to venue there. Nothing here waives any right you have to bring a claim in small claims court or before a government agency.
19. General
If any provision of this Agreement is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. You may not assign this Agreement; we may assign it in connection with a merger, acquisition, or sale of assets. This Agreement, together with the documents referenced in Section 16, is the entire agreement between you and PPM about the Platform.
20. Fair housing and accessibility
PPM supports the principles of the federal Fair Housing Act and the New Jersey Law Against Discrimination in every part of our business, including the Platform. If you need an accommodation to use the Platform, or encounter an accessibility barrier, tell us and we will work with you — see our Accessibility Statement.
